Acceptance of Terms

Welcome to Cervantes AI, a revolutionary platform that will help to refine and streamline your content creation processes using advanced artificial intelligence. By accessing the Cervantes AI platform, which includes the website and all its associated services (collectively, the “Platform”), you (“User” or “you”) accept and agree to these Terms and Conditions (“Terms”). These Terms represent an agreement between you and Cervantes AI (“Company,” “we,” or “us”) which is binding in law. These Terms dictate your use of the Platform and they apply to all participants which includes: users, visitors, and any other person who manages to gain access into the Platform. Permitted Use:
You can create Content using the Platform for lawful and legitimate purposes including, but not limited to, articles, blogs, images, and video creation, as per the capabilities provided by the Platform.
Prohibited Use:
You promise not to engage in any unlawful, harmful, or abusive activities while using the Platform. As an example, but not limited to these particular issues, you are prohibited from:
  • Creating or distributing content that contains advertising for, or the promotion of drugs, firearms, or prostitution.
  • Creating or distributing content that encourages or advertises hate speech and racial discrimination in any form.
  • Using the Platform to violate or infringe upon other people’s intellectual property rights.
  • Attempting to access the Platform or its systems without authorization.
  • Using the Platform to propagate viruses, malware, or other harmful code.
  • Using the Platform to disrupt or interfere with the operation of the Platform.
  • Using the Platform to create false content that is fraudulent or otherwise has been artificially crafted to mislead individuals.
  • Using the Platform to create content that can be defined as unsurprisingly repetitive or irrelevant material.
  • Impersonating any person or business on the Platform.
  • Using automated systems, scripts or bots to contact or utilize the Platform, unless explicitly stated otherwise by us.
User Responsibilities:
All Content produced through your usage of the Platform is your responsibility. You consent to make certain that your Content meets these Terms and any relevant legislation. Account Creation and Termination:
In order to unlock certain capabilities of the Platform, account creation may be necessary. The user agrees to provide accurate and up to date information during registration and to maintain such account information after registration. We may suspend or terminate your account, as well as access to the Platform, at any time without advance notice if we suspect you have violated these Terms of Services and might be harming the Platform or its users.
Age Restrictions:
Cervantes AI’s platform usage requires a minimum age of eighteen years old. By utilizing the Cervantes AI Platform, you acknowledge and guarantee that you are of the age eighteen or above.

Inputs and Outputs (AI-Generated Content)

With the Cervantes AI Platform, you may enter text prompts, provide image descriptions, or use any other form of content as (“Inputs”) which you wish to generate content for. Content will then be created based on provided outputs, which will be marked as (“Outputs”). The combination of both Outputs and Inputs will have the designation of “Content.”

Ownership and Usage Rights:
The Platform does not maintain any ownership of the Inputs provided by you. Furthermore, by virtue of their providing such Inputs, you grant Cervantes AI, a non-exclusive, worldwide, perpetual, and royalty-free license to use, reproduce, make, alter, and redistribute such Inputs in any form for full realization and advancement of the Platform. Cervantes AI, under these Terms, subject to non-adherence by you, shall bestow upon you non-exclusive, worldwide, perpetual, and royalty-free license to any Output resulting from the usage of the Platform. It shall be your responsibility to ensure that Outputs are used in lawful manners only.
Accuracy and Reliability of AI-Generated Content:
It is within your understanding that AI-generated content may not provide accuracy, reliability, or appropriateness for all intended use cases. The Outputs provided by the Platform is a result of multiple algorithms and models, which comes with the possibility of unanticipated or unintended consequences. You agree that you will validate the accuracy and reliability of any generated information through the framework of the Platform and not independently accept the results without verification. Cervantes AI takes no responsibility for the accuracy, completeness, or appropriateness of any Outputs.
User Responsibility for Content:
You take full responsibility for everything related to Content resulting from your use of the Platform. You agree to not create or disseminate Content that violates these Terms or any applicable laws. Cervantes AI has no liability for any Content produced by users of the Platform. You agree to defend and indemnify Cervantes AI from all those claims, damages, and other monetary liabilities that you are subjected to because of the use of the Platform or Content generation.

Inputs and Outputs (AI-Generated Content)

Ownership of Platform Content:
Cervantes AI, llc as the owner holds all rights, title, and interest in the Platform which encompasses all of the software, algorithms, models, designs, text, graphics, logos, and trademarks (collectively, “Platform Content”). It is understood that laws have been passed that give propriety to the Platform Content such as copyright, trademark, and trade secret laws.
User-Generated Content:
You have complete ownership of the Inputs that you give to the Platform. By using the Platform, you grant Cervantes AI the right to use your Inputs, without limitation to reproduction, modification and distribution, for the purpose of providing and improving the Platform on a worldwide basis without royalty in a non-exclusive manner. Every User of the Platform is obliged to ensure that the Content that they create or upload does not infringe on the intellectual property rights of other parties.
Copyright and Trademark Information:
All trademarks, service marks, and logos on the Platform are the property of Cervantes AI or other Third Parties. You are incapable of any trademarks, service marks, and logos unless you first obtain the consent in writing from Cervantes AI or appropriate owner. You also have to agree not to copy, adapt, publish, or in any other way exploit the Platform Content without the express written license from Cervantes AI aside from what is stated in these Terms.

Limitations of Liability

Disclaimer of Warranties:
THE CERVANTES AI PLATFORM AND ANY GENERATED CONTENT IS AVAILABLE TO YOU ON AN “AS IS” AND 'AS AVAILABLE' BASIS. CERVANTES AI DISCLAMS EVERY POLICY CLAIM OR WARRANTY TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CERVANTES AI, WILL NOT BE HELD RESPONSIBLE FOR ANY ERRORS THAT MAY OCCUR WITH THE CONTENT. CERVANTES AI DOES NOT WARRANT THAT THE PLATFORM OR ITS CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of Liability:
UNDER NO CIRCUMSTANCES WILL CERVANTES AI AND ITS AFFILIATES, INCLUDING BUT NOT LIMITED TO OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE HELD RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORT, THAT MAY OCCUR IN CONNECTION WITH USING THE PLATFORM OR ITS CONTENT. CERVANTES AI WILL NOT BE LIABLE FOR DAMAGES SUCH AS LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL CERVANTES AI BE LIABLE TO YOU FOR ANY DAMAGES THAT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR ACCESS TO THE PLATFORM IN THE SIX (6) MONTHS PRECEDING THE CLAIM, IN RELATION TO THESE TERMS OR YOUR USE OF THE PLATFORM.
Indemnification:
You agree to indemnify claims, actions, legal administrative processes, including reasonable legal expenditures of Cervantes AI and its affiliate companies, officers, directors and employees or agents on account of your use of the Platform. This includes, but is not limited to, Terms of Service violations, interactions with any of its services, and other services that cause costs and damages.

Third-Party Links/Services (If Applicable)

The Cervantes AI Platform may contain links to third-party websites and services we do not own or control. We are not responsible for the content of any such sites or services and do not endorse them or their respective privacy policies or practices. You accept and agree that Cervantes AI and its affiliates are only responsible as stated in this section and that they have no liability, whether direct or indirect, for any alleged damage or loss which is claimed to have been or was caused in connection with the use or reliance on any content, materials, or services from third party sites and services. The risks involved in the interaction with third-party websites and services is thus totally at one’s discretion and does not involve us and any other third parties. It is always advisable to review the terms of usage and privacy statements of other websites or services before engaging with them.

Termination

We may, without notice and liability, suspend your access to the Cervantes AI Platform for any reason, including but not limited to breach of Terms. With termination, the right to use the Platform ceases instantly. We may, at our sole discretion, permit you to download or export your Content prior to the termination of your access; however, we reserve the ability to remove all Content relevant to your account upon termination. Every clause in this document that is intended to persist after termination will persist, including but not limited to, claims regarding proprietary rights, disclaimers of warranty, indemnity, and exclusion of responsibility, and restriction of claims.

Governing Law/Dispute Resolution

Governing Law:
These Terms will be governed by and interpreted according to the laws of the State of Florida, United States of America, excluding any considerations of legal conflicts.
Dispute Resolution:
Any disputes stemming from these Terms or your engagement with the Cervantes AI Platform will be resolved using mediation and, if mediation is unsuccessful, then through arbitration.

Mediation

  • Any dispute shall first be submitted to non-binding mediation in accordance with the rules of the American Arbitration Association's Mediation Rules.
  • The mediation shall take place in Miami, Florida.

Arbitration (if mediation fails):

  • If the dispute is not resolved through mediation, it shall then be submitted to binding arbitration in accordance with the rules of the American Arbitration Association's Commercial Arbitration Rules.
  • The arbitration shall take place in Miami, Florida.
  • The arbitrator's decision shall be final and binding.
You agree to waive any objection to the venue for mediation and arbitration in Florida.

Changes to Terms

We may freely amend these Terms at will and at any time. If a revision is deemed material, then in all good faith and reasonable efforts we will attempt to provide at least 10 days’ notice before the new terms become effective. What counts as a material change is solely up to us.
We will notify you of any changes by:

  • Posting the new Terms on the Cervantes AI Platform.  
  • Sending you an email to the address associated with your account.
You acknowledge the revised Terms by using and accessing the Platform after such revisions are effective. Users who do not acknowledge such Terms should refrain from using the Platform. The top of the document will contain the most updated version of these Terms. The date the document was last changed will also be stated there.
